Forming an LLC for Your Nebraska Hair Salon: Certificate, Publication, and the Biennial Report
The Nebraska hair salon guide gives the short version: file the Certificate of Organization for $100 online, publish the notice of organization for three successive weeks, and file the biennial report in odd numbered years. This page is the long version: the entity choice in Nebraska terms, every filing and fee in the Secretary of State's own schedule, the optional trade name registration, the tax accounts that follow formation, and the calendar that keeps a Nebraska salon LLC alive, including the June 2025 dissolution wave that shows what a missed report costs.

LLC, sole proprietorship, or corporation for a Nebraska salon
A sole proprietorship is the default: no formation filing, no state fee, and no separation between you and the business. The simplicity costs you twice in a salon. Your personal assets stand behind the business's debts and claims, and DHHS issues the salon license to the owner named on the application, so the license, the lease, and the liability all sit on one person. Many working stylists start here, and many move off it the day they sign a commercial lease or hire a second chair.
An LLC is where most Nebraska salon owners land, and the state's price for it is modest: a $100 online formation filing, a three week newspaper publication step that most states have dropped, and one report every two years. In exchange, the business becomes its own legal person, able to hold the lease, the bank account, and the contracts in its own name, with the owners' personal assets behind the entity's wall as long as the separation is actually maintained. Nebraska taxes the LLC the way the IRS does by default, so formation changes your liability picture and your paperwork, not your tax form.
A corporation fits a salon group planning outside investors or a multi-location structure that wants stock to sell. It carries more internal formality than a single salon needs, and one Nebraska specific wrinkle matters if you ever weigh the forms side by side: under the workers compensation statute, a corporate officer who owns less than 25 percent of the common stock is an employee by law, while an officer at or above 25 percent, like an LLC member, is covered only after a written election. Our Nebraska salon insurance guide walks through that election, because the entity you choose here decides how your own injury coverage works there.
Filing the Certificate of Organization, step by step
- Choose a name that satisfies section 21-108. The name must contain limited liability company, limited company, or an accepted abbreviation such as LLC or L.L.C., and it must be distinguishable from names already on the Secretary of State's records. Search the state's business records before you print signage. Reserving the name first is optional, at $30 on the Application for Reserved Name, and worth it only if you are not ready to file.
- Line up the designated office and registered agent. Nebraska requires both: a designated office in the state and a registered agent with a Nebraska street address who can accept legal papers. The agent's address also decides where your publication runs, because the notice is published in the area of the designated office.
- File the Certificate of Organization through eDelivery. The Secretary of State's fee schedule prices it at $100 filed online or $110 in office. Keep the stamped confirmation; the salon license application, the bank, and every lender will ask for the entity's proof of existence.
- Publish the notice of organization for three successive weeks. Section 21-193 requires publication in a legal newspaper of general circulation in the area of the designated office, and the affidavit of publication is then filed with the Secretary of State at $25 online or $30 in office. The newspaper charges its own publication fee on top of the state fee, and that price is the newspaper's, not the state's.
- Write the operating agreement and open the records file. Nebraska does not file the agreement with the state, but the agreement is what makes the entity real between the members: ownership percentages, who can sign the lease, and what happens when a member leaves. Keep it with the certificate, the publication affidavit, and the biennial report receipts.
Two filings flank formation. A foreign LLC, organized in another state and opening a Nebraska salon, files a Certificate of Authority at the same $110 in office or $100 online, plus $10 for the certificate, and then lives under the same biennial report duty. And dissolution, when the day comes, is a Statement of Dissolution at $30 in office or $25 online, which is a different door from the administrative dissolution described in the calendar section below: one is chosen, the other is a penalty.
The official formation route is free to use
Partner route (optional): the Secretary of State's forms and fee information page lists every LLC filing and price, and eDelivery is the state's own online filing system; the state filing costs $100 online and the instructions cost nothing. We may replace this link with a vetted formation partner in the future; if we do, we may earn a commission at no additional cost to you. The state route stays free either way.
The trade name registration: optional, at the Secretary of State
Nebraska does not require a DBA filing, and the statute's word is permissive: under section 87-210, a person who adopts a trade name may register it with the Secretary of State. The registration is a public record that the name is in use; it creates no entity, and the salon license, the lease, and the bank account still run through you or your LLC. Most Nebraska salons operate under the LLC's own name and never file one.
If you do register, the Secretary of State prices the Application for Registration of Trade Name at $100 filed electronically or $110 in writing, for a ten year term, renewable at $110. Section 87-219 then adds the step owners forget: notice of the filing must be published once in a newspaper of general circulation in the area of the business, and the affidavit of publication filed with the Secretary of State within 45 days. The affidavit itself carries no state filing fee, but a registration whose affidavit never arrives is cancelled, so the cheap filing quietly dies if the newspaper step is skipped. Run a name search before filing anything, in the Secretary of State's records and against existing salon names in your market, because a registration does not rescue a name that infringes someone else's.
Get the EIN: the number every Nebraska account asks for
The Employer Identification Number is free from the IRS, and in Nebraska it is the hinge between formation and operation. The Department of Revenue's registration asks for it, the Department of Labor's employer registration asks for it, and the bank will not open the business account without it. Apply on the IRS site in the LLC's exact legal name, after the Certificate of Organization is filed, and keep the confirmation letter with the formation records. Anyone charging you for an EIN is selling you a free form.
Nebraska tax and employer accounts after formation
One registration opens the state tax accounts. The Department of Revenue's Form 20, the Nebraska Tax Application, filed online or on paper, registers the business for a Nebraska identification number, the sales tax permit, and employer income tax withholding in a single pass. The sales tax permit is free and never needs renewal. Nebraska's sales tax reaches retail sales of tangible personal property and named categories of transactions; hair services are not named in section 77-2703 and are not taxed, while the products on your retail shelf are, at the 5.5 percent state rate plus your local option tax. Buy resale inventory tax free with a Form 13 resale certificate, and file returns at the frequency the Department of Revenue assigns from your estimated liability on Form 20: monthly at $3,000 or more of estimated annual tax, quarterly from $900 to $2,999, and annually under $900.
The employer account sits with the Nebraska Department of Labor. Register when you hire, before the first payroll runs; for 2026 a new non-construction employer pays a combined unemployment rate of 1.25 percent on the first $9,000 of each employee's wages, and quarterly wage reporting follows the account. Two wage figures from the parent guide belong in the same folder: the Nebraska minimum wage is $15.00 from January 1, 2026 for employers of four or more, and the tipped cash wage is $2.13 with the employer making up any shortfall to $15.00. None of these accounts is an LLC filing, but lenders read them as proof the business is real, which is why the Nebraska business loans page lists them among the documents a lender asks for.
Open the business bank account, and keep the separation real
Bring the stamped Certificate of Organization, the EIN confirmation, and the operating agreement to the bank, and open the account in the LLC's name. Every dollar of salon revenue lands there, every business expense leaves from there, and the salon's card, booking platform payouts, and payroll all run through it. The liability separation an LLC promises depends on this discipline: an owner who pays personal bills from the salon account, or runs salon income through a personal account, is handing a future claimant the argument that the entity was never real. The account also produces the clean bank statements that the Department of Revenue, a landlord, and a lender each ask for in their own process.
The Nebraska LLC duties calendar
- January 1 to April 1, odd numbered years: the biennial report. Section 21-125(c) sets the window, the Secretary of State's own report form prices the filing at $30, and the same form warns that failure to file the completed report and pay the fee results in dissolution of the company.
- September 30, odd numbered years: salon license renewal, $150. The DHHS salon license expires on the same odd year rhythm as the report, and a salon license can never be reinstated after it expires.
- December 31, even numbered years: practitioner license renewals. Cosmetologists renew with eight hours of continuing education, in the off years from the salon's own renewal.
- Sales tax returns at your assigned frequency. Monthly, quarterly, or annually by estimated liability, as set at Form 20 registration.
- Quarterly unemployment wage reports to the Department of Labor, once the employer account exists.
- Registered agent and designated office, continuously. Losing the agent is its own ground for administrative dissolution; a Statement of Change costs $30 in office or $25 online.
- Trade name renewal every ten years, only if you registered one, at $110, with the new publication affidavit filed within 45 days of the renewal filing.
- What is not on this calendar: an annual LLC report or franchise tax return. Nebraska's LLC report is biennial, and the Secretary of State's recurring charge is the report itself, not a yearly franchise filing.
The dissolution paragraph deserves its own emphasis, because Nebraska enforces it in bulk. When the 2025 biennial reports went unfiled, the Secretary of State administratively dissolved the non-filing LLCs on June 17, 2025, and a dissolved LLC cannot hold itself out as active, sign as a live entity with clean hands, or pass a lender's status check. The way back is the application for reinstatement at $30, filed with the delinquent biennial reports and their $30 fees, showing the grounds have been eliminated; the Secretary of State's own worksheet for the June 2025 dissolutions totals one missed cycle at $60. Reinstatement for those LLCs runs by mail or in person, not online. Wait too long and the price changes character: an entity inactive in the Secretary of State's records for over five years applies for late reinstatement at $500, with past biennial report fees and interest potentially on top. A voluntarily dissolved LLC, by contrast, can never reinstate at all; it would form again from the beginning.

Frequently asked questions
How much does it cost to form an LLC in Nebraska?
The Certificate of Organization costs $100 filed online or $110 in office, paid to the Secretary of State. After filing, section 21-193 requires publication of the notice of organization for three successive weeks, and the affidavit of publication is filed with the Secretary of State at $25 online or $30 in office. What does a Nebraska LLC file every two years?
The biennial report, filed between January 1 and April 1 of odd numbered years under section 21-125, and priced at $30 on the Secretary of State's own report form. The form warns that failure to file the completed report and pay the fee results in dissolution of the company, and the Secretary of State dissolved non-filing LLCs on June 17, 2025.
How does a Nebraska LLC reinstate after administrative dissolution?
By filing the application for reinstatement, $30, together with the delinquent biennial reports and their fees, showing the grounds for dissolution have been eliminated; the reinstatement application cites section 21-152. An entity inactive in the Secretary of State's records for over five years applies for late reinstatement at $500, and past biennial report fees and interest may also apply. A voluntarily dissolved LLC cannot reinstate.
Do I need to register a DBA or trade name in Nebraska?
No. Section 87-210 says a person who adopts a trade name may register it with the Secretary of State; the registration is optional. It costs $100 filed electronically or $110 in writing, runs for a ten year term, and requires a publication affidavit filed within 45 days or the registration is cancelled. Most salons operate under the LLC's own name and skip it.
Do I need an EIN for a single member salon LLC?
In practice, yes. The free IRS number keys the Department of Revenue Form 20 registration, which issues your Nebraska identification number, sales tax permit, and withholding account, the Department of Labor employer account, payroll, and the business bank account. A single member LLC with no employees can legally use the owner's Social Security number for some purposes, but the registrations and the bank will ask for the EIN.
